1Agreement and acceptance
These Terms are between you and CADUCEX ("we", "us", "our"), the operator of the
Codex Cloud Workspace (cct). The service is delivered at
coding.caducex.com and its subdomains. CADUCEX is the trade name used for
the service.
Registration is by invitation at signup.coding.caducex.com. You need a valid
invitation code bound to your email address to open an account.
By checking the agreement box and clicking "Create account", or by using the service, you confirm that you have read, understood and agree to these Terms. If you do not agree, do not use the service. If you use the service on behalf of an organisation, you represent that you are authorised to bind that organisation, and these Terms bind both you and the organisation.
These Terms and our Privacy Policy form the entire agreement. If they conflict on the handling of personal information, the Privacy Policy controls; otherwise these Terms control. The Chinese and English versions are both provided. The version in the language you selected when you registered applies to you.
2The service
cct is a hosted cloud workspace for the open-source Codex coding agent. When your account is opened, you receive:
- a dedicated container (one container per customer, isolated from other customers);
- a dedicated URL (for example
xxxxxx.coding.caducex.com) for your workspace; - a browser-based coding agent that can read and write files in your workspace, run commands (each command requires your approval) and show diffs;
- the ability to connect the model account you choose: OpenAI subscription login, or your own DeepSeek API key.
- Model usage. You purchase and pay for model usage directly with your own model provider. We do not resell tokens, share subscription accounts, or take a share of model fees.
- Third-party charges. For example, charges from the model provider, your network provider, or other services you choose.
- Custom development. The service is a standard product. Custom work requires a separate written agreement.
The service is provided on a best-effort basis. See Sections 10 and 11.
3Your account
- Provide a valid email address that you control. Account notices and the initial credentials are sent to that address. One email address (as a string) can open one workspace.
- Your account is for you or your organisation only. You may not sell, transfer, rent or share it. Anything done through your account is treated as done by you.
- Sign-in uses email and password. You must change the initial password at first login. Use a strong, unique password and keep the welcome email secure.
- You are responsible for losses caused by your failure to keep credentials, workspace URLs or tokens confidential.
- We may temporarily restrict an account to protect the service (for example, after repeated failed logins or unusual traffic) and will notify you where practical.
4Trial, fees and payment
- Free trial. New customers receive a 30-day free trial. No platform fee is charged during the trial.
- Trial expiry. The workspace is suspended at the end of the trial; the account and data are retained. Contact us to continue. We do not auto-charge you, and we may reclaim resources after notice if you do not continue.
- Paid plans. Platform fees are charged per seat / container. The price, billing period, quotas and any add-ons will be confirmed in an order confirmation or checkout page before a paid plan starts. No platform fee is charged before you confirm and pay.
- Payment. We may use a third-party payment processor (for example Paddle or Stripe) or, during a pilot, a manually confirmed payment method. We do not store your full card number, expiry date or security code. The payment processor's terms also apply.
- Refunds. Refund terms are confirmed with you before paid activation. Unused service periods may be refundable under the applicable order terms. Platform fees for periods already used, and model fees already incurred with your model provider, are not refundable by us.
- Price changes. We may change prices with 30 days' notice. The price for a period you have already paid for does not change.
- Taxes. Prices exclude taxes that you are required to pay, unless the order says otherwise. Where a payment processor acts as merchant of record, it handles applicable taxes.
5Quotas and fair use
- Each workspace has daily turn, storage and concurrency quotas. The current values are shown in your order confirmation or product page.
- When a quota is reached, the service may reject new requests until the next period or until you upgrade. We do not automatically charge you for exceeding a quota.
- You may not use multiple accounts, scripts or technical measures to avoid quotas, rate limits or security controls.
- Resources are allocated to your container. Persistent overuse may affect your own or shared infrastructure; we may contact you to adjust the allocation.
6Acceptable use
You must not use the service to:
- violate any law or regulation applicable to you or to the place where you use the service;
- create, store or distribute prohibited content, including child sexual abuse material, terrorist propaganda, fraud, defamation, or content that violates another person's privacy;
- infringe intellectual property, trade secrets or other rights of others;
- scan, probe, attack, interfere with or gain unauthorised access to any system, network or account, including ours and those of other customers;
- send spam, distribute malware, conduct network attacks, or mine cryptocurrency;
- circumvent technical protection measures, paywalls, login walls, CAPTCHAs or other access controls;
- resell, sublicense or time-share the service, or open accounts in bulk for third parties;
- share model credentials or pool subscriptions. Each seat and each model credential is for one customer. You may not share a subscription or API key between people, or use cct as a model resale channel;
- use output as medical, legal, tax or investment advice without review by a qualified professional;
- evade quotas, impersonate another person, or interfere with our metering or security.
7Your content and responsibility
- You own the files you upload, the content you generate and your conversation history (or your organisation does). We claim no ownership of your content.
- You represent that you have the rights and lawful basis to process the content you submit, including any personal information (with any required consents).
- You are responsible for your use of the service, including the instructions you give the agent, the third-party services you connect, and the purposes for which you use the output.
- You must comply with the laws applicable to you and with the terms of your model provider. You are responsible for the consequences of any breach.
- Back up important data yourself. Container data is not a backup service. Deletion is irreversible.
8Third-party services and models
The service can be used with third-party services (model providers, email delivery, network services). Those services are independent of us:
- we do not control, endorse or warrant their availability, stability, pricing or output;
- their terms and fees are between you and them;
- we are not liable for their outages, price changes, account suspensions or policy changes, but we will help you troubleshoot or migrate where we can;
- one-to-one credentials. When you use an OpenAI subscription or a DeepSeek API key, use an account you are entitled to use and comply with that provider's terms. You bear the consequences of sharing, reselling or otherwise misusing it.
9Intellectual property
The service software, interface, CADUCEX marks, documentation and design are owned by us or our licensors and are protected by intellectual property laws. We grant you a non-exclusive, non-transferable, non-sublicensable right to use the service under these Terms.
You may not copy, reverse engineer, decompile, disassemble or modify the service software, use it to build a competing product, or remove proprietary notices. Open-source components used by the service (including the Codex engine) are provided under their own open-source licences.
We may use anonymised, aggregated statistics (for example, total request counts and success rates) for capacity planning and service improvement. These statistics do not identify you.
10Availability, changes and termination
- Availability. The service is provided on a best-effort basis (see Section 11). We perform maintenance when necessary, preferably during low-traffic periods and with notice.
- Changes. We may add, change or retire features. For a change that materially reduces a paid period, we will give 30 days' notice and discuss an appropriate remedy with you.
- You may stop. You may stop using the service at any time and ask us to close or delete your account. Deletion is irreversible; after closure, data is retained for a period (usually no more than 30 days) unless you ask us to delete it.
- We may suspend or terminate. We may suspend or terminate your account if you seriously breach these Terms, if your conduct endangers the platform or other customers, if the law requires us to stop, or if we discontinue the service (with at least 30 days' notice and a pro-rata refund discussion for unused periods).
- Non-renewal. If you do not renew, the account enters a suspension process; after a reasonable period and notice, we may reclaim the container and data.
11Disclaimers
- AI output can be wrong. The agent is powered by large language models. Output may be inaccurate, incomplete, biased or out of date. Do not rely on it as fact or professional advice. We do not provide medical, legal, tax or investment advice. Consult a qualified professional and verify output before making decisions.
- Commands carry risk. The agent can run commands and modify files in your container. Every command requires your approval, but you should read commands before approving them and back up important data.
- Results depend on the model you choose. We do not control your model provider and do not endorse the quality, availability or pricing of any model.
- Data integrity. Back up important data. We are not liable for data loss caused by a failure to back up.
- Third-party conduct. We are not responsible for problems caused by third-party services (model providers, network operators, email delivery, and so on).
12Limitation of liability
- We are not liable for indirect, incidental, special, punitive or consequential damages, including lost profits, business interruption, loss of goodwill, loss of data or the cost of substitute services, even if we were advised of the possibility.
- Our total aggregate liability for any claim is limited to the platform fees you actually paid for the service in the 12 months before the event giving rise to the claim; if that amount is less than US$100, the cap is US$100.
- During a free trial, no platform fee is charged and we have no liability for losses arising from the service, except where applicable law does not allow this exclusion.
Nothing in this section excludes liability that cannot be excluded under applicable law (for example, liability for our gross negligence, wilful misconduct or fraud, or rights that consumer protection law does not allow us to limit). If the law where you live gives you stronger rights, those rights prevail.
13Your indemnity
If you breach these Terms, or if your conduct (including content you process, instructions you give, or third-party services you connect) leads to a claim against us, you agree to defend and indemnify us and our affiliates against resulting losses, liabilities, damages and reasonable legal fees and costs.
We will notify you promptly of a claim and reasonably cooperate with your defence. We may choose our own counsel and settle a claim where appropriate.
14Force majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, government action, changes in law or policy, power or telecommunications failures, undersea cable faults, internet backbone or cloud provider failures, large-scale cyber-attacks, and other force majeure events.
15Sanctions and export compliance
You represent and warrant that you are not a restricted party on any applicable sanctions list (including Canadian, US, EU and UN lists) and are not located in a comprehensively sanctioned country or region. You may not use the service to provide services or transfer controlled technology to such persons or places. If we discover such use, we may suspend or terminate the service immediately.
16Changes to these Terms
We may update these Terms from time to time. For material changes affecting your rights or obligations, we will give 30 days' notice by site notice or email. Other changes take effect when published, and we will update the version and effective date at the top of this page. If you continue to use the service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the service and contact us.
17Governing law and disputes
- These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law rules.
- The parties will first try to resolve a dispute in good faith. Either party may start the discussion by written notice. If the dispute is not resolved within 30 days after notice, either party may bring a claim.
- Unless mandatory law provides otherwise, the parties submit to the exclusive jurisdiction of the courts of Toronto, Ontario.
18General
- Severability. If a provision is held invalid or unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure or delay in exercising a right is not a waiver of that right.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement about the service and replace prior oral or written communications.
- Notices. We may notify you by the email address on your account or by site notice; notice is effective when sent. You may notify us at the email below.
- Headings. Headings are for convenience only and do not affect interpretation.
